1. INTRODUCTION
Welcome to VMC Consultancy.

These Terms and Conditions ("Terms", "Terms and Conditions" or "Agreement") govern your access to and use of the websites, online platforms, learning environments, online stores, digital resources, physical products, educational materials, professional services and other offerings provided by VMC Consultancy (PTY) LTD ("VMC Consultancy", "we", "us", "our" or "the Company").

VMC Consultancy is a South African consulting and education-focused organisation providing psychology-informed, educational, developmental, diversity and inclusion, research, training, communication and related services and resources. Our ecosystem includes, among other initiatives and offerings:

  • VMC Consultancy, the principal organisation; 
  • VMC Learning Hub; 
  • Shaped by Psychology, including its blog, podcast and YouTube channel; 
  • Shaped by Psychology Shop; 
  • Afriwesternism; 
  • the VMC Consultancy founder website/profile; 
  • books, journals, guides and educational resources; 
  • courses and online learning; 
  • consulting and professional services; and 
  • other products, programmes, resources, services and initiatives introduced by VMC Consultancy from time to time. 
These Terms are intended to provide the general rules governing the use of the VMC Consultancy ecosystem. Certain products, courses, programmes or professional engagements may have additional terms, policies, quotations, agreements or conditions. Where such additional terms apply, they form part of the agreement applicable to that particular product or service.

By accessing, browsing or using our websites or platforms, creating an account, purchasing a product, enrolling in a course, registering for a programme, submitting content, requesting a service or otherwise interacting with the VMC Consultancy ecosystem, you agree to be bound by these Terms to the extent permitted by applicable law. If you do not agree with these Terms, please do not use the relevant website, platform, product or service.

3. DEFINITIONS
For purposes of these Terms:

"Account" means a registered account created by a user on a VMC Consultancy website, platform or learning environment.

"Content" means any text, article, publication, book, guide, workbook, journal, illustration, photograph, graphic, logo, design, video, podcast, audio recording, course material, educational resource, worksheet, downloadable resource, framework, methodology, software or other material made available through the VMC Consultancy ecosystem.

"Digital Product" means an electronic product or resource, including an e-book, PDF, digital guide, workbook, journal, template, educational resource or similar electronic product.

"Learning Hub" means the VMC Learning Hub and associated learning-management systems or platforms operated by VMC Consultancy.

"Marketplace" or "Shop" means any online store operated by or on behalf of VMC Consultancy, including the Shaped by Psychology Shop.

"Services" means consulting, educational, developmental, research, training, coaching, mentoring, assessment, programme design, facilitation, speaking, advocacy, communication or other professional services provided by VMC Consultancy.

"User", "you" or "your" means any individual, organisation or other person accessing, purchasing from, registering with or otherwise interacting with the VMC Consultancy ecosystem.

4. SCOPE OF THESE TERMS
These Terms apply generally to the VMC Consultancy ecosystem. They may apply to:

  • the VMC Consultancy website; 
  • VMC Learning Hub; 
  • Shaped by Psychology websites and platforms; 
  • Shaped by Psychology Shop; 
  • Afriwesternism-related websites and Content; 
  • founder-related websites and Content; 
  • online courses; 
  • physical products; 
  • Digital Products; 
  • books and publications; 
  • educational resources; 
  • professional Services; 
  • consulting engagements; 
  • training and workshops; 
  • coaching and mentoring; 
  • Individualised Educational Plans and related educational support; 
  • free educational resources; 
  • paid resources and services; and 
  • other VMC Consultancy offerings. 
Where a particular product or service has additional terms, those terms will apply in addition to these Terms. Where a separately signed agreement, quotation, proposal, statement of work or service agreement governs a professional engagement, that document will take precedence over these general Terms to the extent of any inconsistency.
5. ACCEPTANCE OF THE TERMS
5.1 By using our websites, platforms, products or Services, you agree to comply with these Terms and all applicable laws.

5.2 Certain actions, including registering for an Account, purchasing a product, enrolling in a course or submitting an order, may constitute explicit acceptance of these Terms.

5.3 We may amend these Terms from time to time.

5.4 The updated version will be published on the relevant website or platform and will state its effective date.

5.5 Continued use of the relevant service after the effective date of amended Terms constitutes acceptance of the updated Terms, subject to applicable law.

6. USE OF THE VMC CONSULTANCY ECOSYSTEM
You agree to use our websites, platforms, products and Services lawfully, responsibly and respectfully. You must not:

  • use our platforms for unlawful purposes; 
  • attempt to gain unauthorised access to our systems or another user's Account; 
  • interfere with the operation or security of our websites or platforms; 
  • introduce viruses, malware or other harmful code; 
  • impersonate VMC Consultancy, its representatives or another person; 
  • submit fraudulent or deliberately misleading information; 
  • harass, threaten, defame or abuse another person; 
  • use our Content to infringe another person's rights; 
  • copy, reproduce, distribute or commercially exploit our Content without permission; 
  • circumvent access restrictions or security measures; 
  • scrape or systematically copy substantial amounts of Content without permission; 
  • use our platforms to distribute unlawful, defamatory, discriminatory, threatening or otherwise inappropriate material; or 
  • use any VMC Consultancy service in a manner that may damage the Company, its users, partners or reputation.
7. ACCOUNTS AND REGISTRATION
Certain services, including the VMC Learning Hub, may require registration. You agree to:

  • provide accurate information; 
  • keep your information reasonably current; 
  • maintain the confidentiality of your login credentials; 
  • take reasonable steps to protect your Account; and 
  • notify us if you suspect unauthorised access. 
You are responsible for activities conducted through your Account unless the activity resulted from circumstances for which you are not reasonably responsible. Accounts are personal and may not be sold, transferred or shared without our written permission. We may suspend or terminate an Account where reasonably necessary to address a breach of these Terms, unlawful conduct, security concerns, fraud or misuse.
8. CHILDREN AND LEARNERS UNDER 18
VMC Consultancy provides certain educational resources and Services for children and young people. Where a learner is under 18 years of age:

  1. 1. registration must be completed by or with the involvement of a parent or legal guardian; 
  2. 2. the parent or legal guardian is responsible for providing the required consent and information; 
  3. 3. the parent or legal guardian is responsible for supervising the learner's use of the relevant service where appropriate; 
  4. 4. VMC Consultancy may require confirmation of parental or guardian authority; 
  5. 5. certain programmes may have additional age or eligibility requirements; and 
  6. 6. VMC Consultancy may restrict access where appropriate parental or guardian registration has not been completed. 
  7. The processing of children's personal information is subject to our Privacy Policy and applicable law. POPIA contains specific provisions concerning children's personal information and the Information Regulator provides guidance concerning the processing of such information.
9. VMC LEARNING HUB
The VMC Learning Hub provides online learning opportunities, including free and paid courses and educational resources.
9. 1. Registration
Registration for the Learning Hub may be free, while individual courses or learning programmes may require payment. Registration does not necessarily entitle a learner to access every course or resource.
9. 2. Paid Courses
Paid courses must be purchased or accessed through the designated registration and payment process. Course-specific information may specify:

  • price; 
  • duration; 
  • access period; 
  • learning requirements; 
  • assessment requirements; 
  • certificate requirements; and 
  • cancellation or refund conditions.
9. 3. Certificates
Where certificates are issued, they are generally certificates of completion. Unless expressly stated otherwise, completion certificates:

  • are not formal academic qualifications; 
  • are not automatically accredited qualifications; 
  • do not constitute registration with a professional body; and 
  • do not represent that the learner has obtained a qualification recognised by a university, statutory professional body or government authority. 
Where accreditation or formal recognition applies to a particular programme, that status will be expressly stated.
9. 4. Learning Materials
Unless expressly stated otherwise, course materials are provided for use through the Learning Hub. Learners may not copy, reproduce, redistribute, resell, publish, upload or commercially exploit course materials without written permission. Downloading of course material may not be available.
9. 5. Learning Participation
Where discussion areas, assignments or other interactive features are provided, users must participate respectfully and comply with the applicable rules. VMC Consultancy may moderate or remove content that violates these Terms.
10. SHAPED BY PSYCHOLOGY
Shaped by Psychology is a VMC Consultancy brand providing psychology-informed educational and developmental resources and content. Its ecosystem may include:

  • books; 
  • children's educational resources; 
  • journals; 
  • workbooks; 
  • guides; 
  • articles; 
  • blog content; 
  • podcasts; 
  • YouTube content; 
  • educational activities; 
  • Digital Products; and 
  • other psychology-informed resources and products. 
Shaped by Psychology Content is intended primarily for educational, informational and developmental purposes. Unless expressly stated otherwise, such Content does not constitute:

  • psychological treatment; 
  • psychotherapy; 
  • counselling; 
  • diagnosis; 
  • medical advice; 
  • emergency mental-health services; or 
  • a substitute for an appropriately qualified professional.
11. AFRIWESTERNISM
Afriwesternism is an intellectual, cultural and philosophical framework developed and presented through VMC Consultancy. Afriwesternism Content may explore relationships between African and Western perspectives, knowledge systems, cultural frameworks, psychology, education, philosophy and related areas. The Content is intended to facilitate intellectual exploration, learning and dialogue. Unless expressly stated otherwise, Afriwesternism Content does not constitute professional legal, medical, psychological, financial or other regulated advice.
12. PRODUCTS
VMC Consultancy may offer:

  • physical books; 
  • e-books; 
  • PDFs; 
  • journals; 
  • workbooks; 
  • educational guides; 
  • children's educational resources; 
  • templates; 
  • Digital Products; 
  • other educational products; and 
  • additional products introduced from time to time. 
Product descriptions, photographs and specifications are provided to assist customers in making informed purchasing decisions. Reasonable variations may occur in colour, appearance, packaging, formatting or other presentation, particularly where products are printed, manufactured or fulfilled by third parties.
13. ORDERS
Placing an order constitutes an intention to purchase the selected product or service subject to these Terms and any applicable product-specific terms. We reserve the right to decline or cancel an order where reasonably necessary, including where:

  • a product is unavailable; 
  • there is an obvious pricing or description error; 
  • payment is unsuccessful; 
  • fraud or unauthorised activity is suspected; 
  • the order cannot reasonably be fulfilled; or 
  • cancellation is otherwise permitted by applicable law. 
Where payment has already been received for an order that we cancel, any refund will be handled in accordance with applicable law.
14. PAYMENT
VMC Consultancy currently uses direct payments to the company's account and PayPal as a payment provider for certain online transactions. Payment methods may change from time to time. Where payment is processed by a third-party payment provider, the transaction may also be subject to that provider's terms and conditions. Customers are responsible for providing accurate payment and billing information. For professional Services, payment arrangements may include:

  • 100% payment upfront; 
  • a 50% deposit with the balance payable according to the agreed schedule; 
  • invoicing; or 
  • another arrangement specified in the quotation, proposal or service agreement. 
The payment terms applicable to a professional engagement will be stated in the relevant quotation, proposal, invoice or agreement.
15. DELIVERY OF PHYSICAL PRODUCTS
Physical products may be delivered within South Africa and internationally. Delivery charges are generally payable separately by the customer unless otherwise stated. The courier or delivery provider may vary depending on the destination, product and circumstances. Where delivery is arranged through a third-party courier:

  • delivery times are estimates unless expressly guaranteed; 
  • customers must provide accurate delivery information; 
  • delays caused by third-party delivery providers may occur; and 
  • international deliveries may be subject to customs, duties, taxes or other charges imposed by the destination country. 
The customer is responsible for any applicable import duties, customs charges or taxes imposed by the destination country unless otherwise stated. VMC Consultancy will take reasonable steps to assist with delivery-related queries.
16. RETURNS, DEFECTIVE PRODUCTS AND CHANGE-OF-MIND RETURNS
VMC Consultancy aims to provide products of appropriate quality and consistent with their descriptions.
16.1 Defective or Damaged Products
If a physical product is defective, damaged on arrival or materially different from what was ordered, the customer should contact us at info@vmcconsultancy.com as soon as reasonably possible. We may request photographs, order information or other reasonable evidence to assess the issue. Where a consumer is entitled to a remedy under applicable law, VMC Consultancy will provide the applicable remedy.
16.2 Change of Mind
Unless required by applicable law, VMC Consultancy does not offer returns or refunds solely because a customer has changed their mind about a purchase.
16.3 Digital Products
Digital Products are generally non-refundable once supplied or made available, except where:

  • the law provides otherwise; 
  • the product is defective; 
  • the product is materially different from its description; or 
  • another lawful remedy applies. 
Nothing in this section is intended to exclude or restrict mandatory consumer rights.
17. COURSE CANCELLATIONS AND REFUNDS
Course-specific cancellation and refund arrangements may be communicated before purchase. Where a learner cancels a paid course:

  • a cancellation before course commencement may result in a reasonable percentage of the course fee being forfeited; 
  • cancellation after course materials or substantial course access has been provided may result in a higher percentage being forfeited; and 
  • any refund will remain subject to applicable consumer-protection law and the specific terms communicated for the course. 
Where a mandatory statutory cooling-off or cancellation right applies, that right will prevail. The specific cancellation percentage or formula applicable to a course will be stated in the course's purchase information or separate cancellation policy before payment is made.
18. PROFESSIONAL SERVICES
VMC Consultancy provides professional and consulting Services to:

  • individuals; 
  • parents and families; 
  • learners and students; 
  • schools; 
  • businesses; 
  • organisations, including those for non-profit; 
  • educational institutions; and 
  • other clients in South Africa and internationally. 
Services may include, among other things:

  • learner/student and parent support; 
  • personalised educational support plans; 
  • Individualised Educational Plans; 
  • parent coaching; 
  • educational support; 
  • diversity and inclusion support; 
  • disability and neurodiversity support; 
  • programme design; 
  • research; 
  • monitoring and evaluation; 
  • training; 
  • workshops; 
  • webinars; 
  • advocacy; 
  • communication support; 
  • coaching and mentoring; 
  • speaking and presentations; 
  • academic/research support; 
  • English-language support; 
  • and other related Services. 
The precise scope of a professional engagement will be determined by the applicable quotation, proposal, service agreement or statement of work.
19. QUOTATIONS AND SERVICE AGREEMENTS
Professional Services may require:

  1. 1. an initial consultation; 
  2. 2. a needs assessment; 
  3. 3. a quotation or proposal; 
  4. 4. written acceptance; 
  5. 5. a deposit or upfront payment; and/or 
  6. 6. a separate service agreement. 
Where a separate service agreement is signed, it governs the specific engagement. A quotation is generally valid only for the period specified in the quotation. VMC Consultancy may revise a quotation where the scope of work changes or where the original assumptions materially change.
20. INDIVIDUALISED EDUCATIONAL PLANS AND EDUCATIONAL SUPPORT
Where VMC Consultancy provides Individualised Educational Plans or related educational support:

  • information provided by the client, parent, learner or institution should be accurate and complete; 
  • recommendations are based on the information and circumstances available to VMC Consultancy at the time; 
  • an Individualised Educational Plan is intended to support educational planning and does not automatically constitute a statutory educational placement or legally mandated accommodation; 
  • implementation may require cooperation from parents, educators, schools or other relevant persons; and 
  • educational outcomes cannot be guaranteed. 
Where a matter requires diagnosis, medical treatment, psychological assessment, occupational therapy, speech therapy or another regulated professional intervention, the client may be advised to consult an appropriately qualified professional.
21. EDUCATIONAL AND PSYCHOLOGY-INFORMED CONTENT
VMC Consultancy uses psychology-informed approaches across aspects of its ecosystem. Such Content is intended to make concepts accessible and practical. However, educational Content should not automatically be interpreted as individualised professional advice. Users remain responsible for deciding whether information is appropriate for their circumstances. Where a situation requires professional assessment or intervention, users should seek assistance from an appropriately qualified professional.
22. INTELLECTUAL PROPERTY
VMC Consultancy retains ownership of its intellectual property and proprietary Content except where ownership is expressly held by another party or otherwise agreed in writing. This includes, without limitation:

  • the VMC Consultancy name and branding; 
  • VMC Consultancy logos and designs; 
  • Shaped by Psychology branding; 
  • Shaped by Psychology Content; 
  • Afriwesternism; 
  • the SHAPED framework; 
  • original educational frameworks; 
  • books and publications; 
  • stories and characters; 
  • children's characters including Nia, Mosi, Tumo, Kato and more; 
  • illustrations; 
  • worksheets; 
  • journals; 
  • guides; 
  • educational resources; 
  • course materials; 
  • podcasts; 
  • videos; 
  • YouTube Content; 
  • blog articles; 
  • website Content; 
  • logos; 
  • graphics; 
  • templates; 
  • methodologies; 
  • original concepts and creative works; and 
  • other original Content developed by VMC Consultancy. 
Nothing in these Terms transfers ownership of such intellectual property to a user.
23. LIMITED LICENCE TO USE OUR CONTENT
Subject to these Terms, VMC Consultancy grants users a limited, non-exclusive, non-transferable and revocable right to access and use Content for its intended personal, educational or authorised purpose. Unless expressly permitted, users may not:

  • reproduce substantial portions of Content; 
  • sell or resell Content; 
  • distribute Content to third parties; 
  • upload Content to public websites or file-sharing platforms; 
  • remove copyright or ownership notices; 
  • modify Content for commercial use; 
  • use Content to create competing commercial products; or 
  • represent VMC Consultancy's Content as their own. 
Educational use does not automatically create permission for commercial reproduction. Requests for licensing or commercial use should be directed to info@vmcconsultancy.com.
24. USER-GENERATED CONTENT
Certain parts of the VMC Consultancy ecosystem may permit users to:

  • post comments; 
  • submit reviews; 
  • participate in discussions; 
  • upload assignments; 
  • submit testimonials; 
  • upload images or files; and 
  • provide other User Content. 
You remain responsible for the User Content you submit. You confirm that:

  • you have the right to submit it; 
  • it does not knowingly infringe another person's rights; 
  • it is not unlawful; 
  • it is not deliberately misleading; 
  • it is not defamatory, threatening or abusive; and 
  • it does not contain malicious software. 
You must not submit another person's personal information without appropriate authority.
25. LICENCE TO USER-GENERATED CONTENT
Where you submit Content for publication, display, assessment, discussion, review or other participation within a VMC Consultancy platform, you grant VMC Consultancy a non-exclusive licence to host, store, reproduce, display and use that Content for purposes reasonably necessary to operate, administer, assess, improve or promote the relevant service. This licence does not transfer ownership of your original Content to VMC Consultancy. Where personal information is involved, its processing remains subject to our Privacy Policy and applicable law.
26. REVIEWS AND TESTIMONIALS
Users may voluntarily provide reviews, feedback and testimonials. By submitting a testimonial for publication, you grant VMC Consultancy permission to reproduce and display the testimonial for legitimate business and promotional purposes, subject to applicable law. VMC Consultancy will not knowingly fabricate testimonials or deliberately misrepresent a user's views. Where appropriate, we may anonymise testimonials or remove identifying information.
27. THIRD-PARTY SERVICES
VMC Consultancy may use or link to third-party services, including:

  • payment providers; 
  • hosting providers; 
  • courier and delivery companies; 
  • learning-management technology; 
  • communication platforms; 
  • analytics services; 
  • social-media platforms; and 
  • other technology or service providers. 
Third-party services operate under their own terms and policies. VMC Consultancy is not responsible for the independent policies, availability or conduct of third-party services, except to the extent required by applicable law.
28. SOCIAL MEDIA, PODCASTS AND YOUTUBE
VMC Consultancy and its brands may maintain social-media accounts, podcasts and YouTube channels. Content published through these channels is generally intended for educational, informational, developmental or promotional purposes. Social-media comments and interactions remain subject to the applicable platform's rules as well as these Terms where applicable. We reserve the right to moderate, hide or remove comments that are unlawful, abusive, discriminatory, threatening, defamatory, spam-related or otherwise inappropriate.
29. ACCURACY AND CURRENCY OF INFORMATION
VMC Consultancy makes reasonable efforts to provide accurate and useful information. However:

  • information may change; 
  • laws, policies and educational requirements may change; 
  • errors or omissions may occur; 
  • third-party information may change; and 
  • information may become outdated. 
We reserve the right to correct, update or remove Content where appropriate. Users should verify information that has significant academic, legal, financial, professional or other consequences before relying on it.
30. NO GUARANTEE OF OUTCOMES
VMC Consultancy provides resources, services, learning opportunities and professional support intended to assist clients and users. However, we do not guarantee any particular:

  • academic result; 
  • career outcome; 
  • employment outcome; 
  • business outcome; 
  • financial outcome; 
  • psychological outcome; 
  • educational outcome; 
  • personal-development outcome; or 
  • other specific result. 
Outcomes depend on individual circumstances and factors outside VMC Consultancy's control.
31. WEBSITE AND PLATFORM AVAILABILITY
We aim to maintain reliable access to our websites and platforms. However, uninterrupted availability cannot be guaranteed. Access may be interrupted because of:

  • maintenance; 
  • updates; 
  • technical failures; 
  • hosting problems; 
  • cybersecurity incidents; 
  • internet or telecommunications failures; 
  • third-party service interruptions; 
  • power failures; or 
  • circumstances beyond our reasonable control. 
We will take reasonable steps to restore services where practical.
32. CYBERSECURITY AND MISUSE
Users must not attempt to compromise or interfere with the security of VMC Consultancy systems. Prohibited conduct includes:

  • unauthorised access; 
  • password attacks; 
  • malware distribution; 
  • denial-of-service attacks; 
  • exploiting vulnerabilities without permission; 
  • accessing another user's information; 
  • circumventing authentication; 
  • interfering with servers or networks; and 
  • any other unlawful interference with our information systems.

33. PRIVACY AND PERSONAL INFORMATION
VMC Consultancy processes personal information in accordance with its Privacy Policy and applicable South African privacy legislation. The Privacy Policy explains how VMC Consultancy collects, uses, stores, protects and otherwise processes personal information. The Privacy Policy forms part of the broader legal framework governing your interaction with VMC Consultancy.

Where personal information relating to children is involved, additional requirements and safeguards may apply. POPIA establishes minimum requirements for the lawful processing of personal information, and the Information Regulator is responsible for monitoring and enforcing compliance with POPIA and PAIA.

34. MARKETING COMMUNICATIONS
Where permitted by applicable law, VMC Consultancy may communicate with users regarding:

  • transactions; 
  • Accounts; 
  • courses; 
  • Services; 
  • products; 
  • educational opportunities; 
  • updates; 
  • events; and 
  • promotional activities. 
Users may unsubscribe from promotional communications where an appropriate unsubscribe mechanism is provided. Unsubscribing from promotional communications does not necessarily stop essential transactional or service-related communications. Marketing activities involving personal information will be conducted in accordance with the Privacy Policy and applicable law.
35. CONFIDENTIALITY IN PROFESSIONAL ENGAGEMENTS
Where a professional engagement requires confidentiality, the parties may enter into a separate confidentiality agreement or include confidentiality provisions in the relevant service agreement. Nothing in these general Terms creates an unrestricted confidentiality obligation in respect of information that:

  • is already publicly available; 
  • was lawfully known to VMC Consultancy before disclosure; 
  • is required to be disclosed by law; or 
  • is reasonably necessary to protect the Company's legal rights. 
Specific professional engagements may contain more detailed confidentiality requirements.
36. LIMITATION OF LIABILITY
VMC Consultancy will not be liable, to the maximum extent permitted by applicable law, for indirect, incidental or consequential loss arising from the use of our websites, platforms, Content, products or Services where such loss is not reasonably foreseeable or where liability may lawfully be limited. Nothing in these Terms excludes, restricts or limits any right, remedy, warranty or liability that cannot lawfully be excluded or limited under applicable law. In particular, these Terms are not intended to remove or reduce mandatory consumer protections. The Consumer Protection Act establishes requirements concerning fair and reasonable contractual terms, consumer information, quality of goods and services and other consumer protections.
37. INDEMNITY
To the extent permitted by law, a user may be responsible for losses or reasonable costs suffered by VMC Consultancy as a result of the user's:

  • unlawful use of our platforms; 
  • deliberate misuse of our Services; 
  • breach of these Terms; 
  • infringement of our intellectual property; or 
  • infringement of another person's rights. 
This provision does not apply to the extent that applicable law prevents such an indemnity.
38. SUSPENSION OR TERMINATION
VMC Consultancy may suspend or terminate access to a platform, Account, course or service where reasonably necessary because of:

  • a material breach of these Terms; 
  • unlawful conduct; 
  • fraud; 
  • abuse; 
  • security risks; 
  • misuse of Content; 
  • threats to other users; or 
  • other circumstances that justify suspension or termination. 
Termination does not remove rights or obligations that arose before termination. Where a customer has paid for a product or service, any applicable statutory consumer rights remain unaffected.
39. EVENTS BEYOND OUR CONTROL
VMC Consultancy will not be responsible for delays or failures caused by circumstances reasonably beyond its control. Such circumstances may include:

  • natural disasters; 
  • severe weather; 
  • war; 
  • civil unrest; 
  • epidemics or pandemics; 
  • government action; 
  • power failures; 
  • telecommunications failures; 
  • major infrastructure failures; 
  • cyber incidents; 
  • labour disruptions; 
  • courier failures; or 
  • failures of third-party service providers. 
We will take reasonable steps to minimise disruption where practical.

Please provide sufficient information to enable us to understand and investigate the complaint. Where appropriate, we will acknowledge and investigate complaints within a reasonable period. Nothing in these Terms prevents a consumer from exercising a statutory right to approach an appropriate regulator, ombud, tribunal, court or other dispute-resolution mechanism.

41. DISPUTE RESOLUTION
VMC Consultancy encourages parties to attempt to resolve disputes through good-faith communication before commencing formal proceedings. Where appropriate, the parties may agree to mediation or another form of alternative dispute resolution. Nothing in this clause prevents a consumer from exercising any mandatory statutory right.
42. GOVERNING LAW
These Terms are governed by the laws of the Republic of South Africa, subject to any mandatory provisions of applicable law. Subject to mandatory consumer rights and applicable jurisdictional requirements, the appropriate courts of South Africa will have jurisdiction over disputes arising from these Terms. For international customers, nothing in this clause is intended to unlawfully deprive the customer of mandatory consumer protections applicable in the jurisdiction where such protections cannot legally be excluded.
43. SEVERABILITY
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally possible. If this cannot reasonably be done, the relevant provision will be severed. The remaining provisions will continue in effect.
44. NO WAIVER
If VMC Consultancy does not immediately enforce a provision of these Terms, this does not mean that we have waived our right to enforce that provision later.
45. ENTIRE AGREEMENT
These Terms, together with:

  • the Privacy Policy; 
  • applicable product terms; 
  • course-specific terms; 
  • refund or cancellation provisions; 
  • quotations; 
  • proposals; 
  • invoices; 
  • service agreements; 
  • statements of work; and 
  • other expressly applicable written agreements, constitute the applicable contractual framework between VMC Consultancy and the user or customer. 
Where a separate written agreement applies to a particular professional engagement, that agreement will govern the engagement to the extent of any inconsistency.
46. CHANGES TO THE VMC CONSULTANCY ECOSYSTEM
VMC Consultancy is an evolving organisation. We may introduce, modify, expand, suspend or discontinue:

  • brands; 
  • websites; 
  • products; 
  • courses; 
  • learning programmes; 
  • Services; 
  • educational resources; 
  • podcasts; 
  • videos; 
  • publications; 
  • technology platforms; and 
  • other initiatives. 
Where a change materially affects an existing contractual obligation, VMC Consultancy will take reasonable steps to communicate the change and comply with applicable law

48. ACKNOWLEDGEMENT
By using the VMC Consultancy ecosystem, you acknowledge that:

  1. 1. you have had an opportunity to read these Terms and Conditions; 
  2. 2. you understand that specific products, courses and professional engagements may have additional terms; 
  3. 3. you agree to comply with these Terms; 
  4. 4. you understand that the Privacy Policy governs the processing of personal information; 
  5. 5. you understand that psychology-informed and educational Content does not automatically constitute professional treatment or advice; 
  6. 6. you understand that certificates issued by the VMC Learning Hub are certificates of completion unless expressly stated otherwise; 
  7. 7. you understand that intellectual property belonging to VMC Consultancy may not be reproduced or commercially exploited without permission; and 
  8. 8. you understand that nothing in these Terms is intended to remove or restrict rights that cannot lawfully be excluded.
